Alan Fishman in Capital Markets
A partner in S&C’s Capital Markets Group, Alan has advised on some of the biggest and most sophisticated capital markets, finance and restructuring transactions in recent years. In AT&T’s combination of WarnerMedia with Discovery, Alan advised AT&T in the spin-off of WarnerMedia and its $30 billion offering of senior notes. The bond offering was the largest in AT&T’s history and the largest investment grade corporate bond offering of 2022. Alan also advised on the capital markets and financing aspects of Canadian Pacific’s acquisition of Kansas City Southern and is active in S&C’s sovereign finance practice, including advising the underwriters for the United Mexican States’ $2.2 billion August 2022 SEC-registered offering of sustainable development goal (SDG) bonds. Brad King in Life Sciences
Brad is a partner in S&C’s Mergers & Acquisitions Group, with significant experience advising companies in major life sciences deals. In the largest ever all-cash takeover in the biopharmaceutical industry, Brad is advising Seagen in its $43 billion pending acquisition by Pfizer. The transaction is also the largest ever acquisition of a pre-profitability company in any industry. Last year Brad advised Verily, the life sciences subsidiary of Alphabet (Google’s parent company), in two deals to further its mission to advance data-driven healthcare—obtaining sole ownership of Granular Insurance Company, a precision risk coverage provider, and securing a $1 billion investment round led by Alphabet. Ken’s practice focuses on advising bank holding companies and other U.S. and non-U.S. financial institutions, including insurance companies and asset managers, on a range of transactional and regulatory matters. A partner in the Firm’s Financial Services Group, his recent work includes leading the deal team advising JPMorgan in its acquisition of Aumni, an investment analytics provider, and guiding Credit Suisse through its recently closed combination with UBS and a series of transactions to exit Credit Suisse’s Securitized Products business. Jameson Lloyd in Tax
The youngest partner in S&C’s Tax Group, Jameson has played a significant role on many of the Firm’s biggest and most innovative transactions, often acting as a key liaison with clients. In one of the most high-profile and complex bankruptcy matters ever, Jameson is part of the S&C team advising FTX and more than 100 affiliates on complex tax matters in the wake of FTX’s November 2022 bankruptcy filing. This unprecedented filing has raised a host of novel and challenging tax issues. Jameson also played a key role on the S&C team that advised AT&T on combining its WarnerMedia business with Discovery through an all-stock, “Reverse Morris Trust” transaction that was the largest Reverse Morris Trust transactions in history. Nick Menillo in Insurance
Nick is a litigation partner and co-head of S&C’s insurance coverage practice. Nick has a versatile litigation practice spanning both civil and criminal litigation matters in a variety of areas. He leverages his generalist experience to advise clients on insurance coverage issues in the context of both litigation and transactions. For example, Nick is advising multiple financial institutions, including Silicon Valley Bank parent company SVB Financial Group and First Republic Bank, on complex insurance-related issues that have arisen in the recent U.S. banking crisis. Nick also advises the FTX debtors on insurance matters in bankruptcy proceedings following its collapse. He also advised Mitsubishi UFJ Financial Group on cybersecurity and other insurance matters in the multibillion-dollar sale of its MUFG Union Bank to U.S. Bancorp—the largest bank deal announced in 2021.
