Don Crawshaw and Eric Diamond led the development of the fifth edition of the Fund Director’s Guidebook, published by the American Bar Association Business Law Section. Don Crawshaw served as co-chair of the ABA Task Force to Update the Fund Director’s Guidebook and authored the “Foreword,” “Background” and “Disclosure Requirements” chapters and the “Regulatory Role of the CFTC” section of the book. Eric Diamond authored the “Private Investments, Hedge Funds and Other Private Investment Funds” and “Registered Funds of Private Funds” sections. Amy Dreisiger and Kate Dai provided significant assistance in the editing of the book.
This latest edition reflects regulatory developments since the prior edition in 2015, covering significant completed and pending rulemakings and other initiatives by the SEC, including those related to liquidity risk and cybersecurity risk management, exchange traded funds, the use of derivatives by funds, funds investing in other funds, money market fund reform, fund names, environmental (including climate), social and governance investing, and industry developments.
Serving as a convenient resource for directors of mutual funds, exchange-traded funds and closed-end funds, the Guidebook is intended to assist fund directors of investment companies registered under the Investment Company Act of 1940 in discharging their responsibilities by providing information to enable them to ask the right questions and to understand their duties and the regulatory environment applicable to regulated funds.
